Terms of Service

1. Agreement
These Terms of Service govern your use of Perispark, operated by Aemorph (Singapore) ("Aemorph", "we", "us"). By creating an account or using the service, you agree to these terms. If you use the service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. The service
Perispark provides software that connects to third-party advertising platforms (including Google Ads and Meta Ads) to retrieve, analyze, and help manage advertising data using AI-generated insights and recommendations.
3. Your responsibilities
You are responsible for maintaining the security of your account credentials, for ensuring you have the right to connect the ad accounts you link, and for all activity that occurs under your workspace. You agree not to misuse the service, attempt to access other tenants' data, reverse engineer the service, or use it in violation of applicable law or third-party platform policies.
4. AI-generated content
Recommendations and analysis produced by Perispark are generated by AI models and are provided for informational purposes only. They may contain errors. You remain solely responsible for reviewing and approving any changes made to your advertising accounts, and for your advertising spend. We do not guarantee specific advertising outcomes.
5. Third-party platforms
Your use of Google Ads, Meta Ads, and other connected platforms remains subject to those platforms' own terms and policies. We are not responsible for changes, outages, data accuracy, or actions taken by third-party platforms, including suspension of your advertising accounts.
6. Fees
Paid plans are billed as described at the time of purchase. Fees are non-refundable except where required by law. We may change pricing with reasonable advance notice.
7. Intellectual property
We retain all rights in the Perispark software and branding. You retain all rights in your data, and you grant us a limited, worldwide license to host, process, and display it solely to provide and improve the service for you.
8. Disclaimers and limitation of liability
The service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Aemorph will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or advertising spend, arising from or related to your use of the service; and our total aggregate liability will not exceed the amount you paid us for the service in the twelve months before the claim.
9. Indemnification
You agree to indemnify and hold Aemorph harmless from claims, losses, and expenses arising from your use of the service, your data, or your violation of these terms or any third-party platform policy.
10. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate accounts that violate these terms or that we are required to act on by law. Upon termination, your data will be deleted in accordance with our Privacy Policy.
11. Governing law and dispute resolution
These terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. You agree that the courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, subject to any non-waivable rights you may have under the laws of your country of residence.
12. Severability and entire agreement
If any provision of these terms is found unenforceable, the remaining provisions remain in effect. These terms, together with the Privacy Policy, constitute the entire agreement between you and Aemorph regarding the service and supersede any prior agreements.
13. Changes and contact
We may update these terms from time to time and will notify you of material changes. Continued use after changes take effect constitutes acceptance. Questions? Contact consulting@kevindam.com.
